Setting up a Business in Denmark

Private Limited Company (Anpartsselskab or ApS)

Limited liability companies must be registered at the Danish Commerce and Companies Agency and will be given an identification number upon registration, known as a CVR number.

• The standard authorised capital is DKK125,000 (€15,000) and is fully paid-up on incorporation

• Your company name must end with the initials ApS

Timescale to Incorporate

When you have submitted the requested information, the Danish Commerce and Companies Agency will register your company and issue a CVR number. A Company Formation in Denmark typically takes 2 weeks. The DCCA will forward your CVR number to The Central Customs and Tax Administration (CCTA), whom you also have to contact in order to be registered for VAT and Corporate income tax.

Formation Procedure

The formation agreement is signed by the shareholders and contains the articles of incorporation which contain the name and address of the company, objects of the company, share capital and members of the board of directors and the notice period of the first general meeting of shareholders.

Your Danish Aps Company can start trading after the application has been filed with the Danish Commerce and Companies Agency.

Management

With an ApS private limited company the shareholders may choose whether the company should only have a management board or a management board and board of directors. The board of directors and/or the management board are registered with the Danish Commerce and Companies Agency and have joint responsibility for the administration of the company.

Ready Made ApS company

A company is given a registration number (CVR number) immediately after being registered by the Danish Commerce and Companies Agency, so the advantage of acquiring a Ready Made company is not very significant.

To change the articles, the name, and to elect a new board etc. an extraordinary shareholders' meeting must take place very soon after the acquisition of the shares in the Ready Made company. Subsequently these changes must be registered with the Danish Commerce and Companies Agency.
